Terms of Service

Effective date: November 1, 2026

These Terms of Service (the “Terms”) are a binding agreement between you and Arcifex LLC, a Wyoming limited liability company (EIN 98-1980825), with its principal office at 30 N Gould St Ste N, Sheridan, WY 82801, the operator of the Sell Digital Products AI service available at selldigitalproducts.ai (the “Service,” “we,” “us,” or “our”). By accessing the Service, taking the quiz, creating a store, or making any purchase, you agree to these Terms, our Privacy Policy, Purchase Agreement, and Refund Policy, which are incorporated into these Terms. If you do not agree, do not use the Service.

1.What the Service Is

Sell Digital Products AI is a software tool. It matches you with a ready-made digital product from our catalog (for example, an ebook, guide, planner, template, or course), generates an online storefront to sell that product, and provides setup training and assistance to help you launch the storefront on third-party platforms and connect your domain and payment processing. We provide software, licensed digital content, and setup training. We are not selling a business opportunity, a franchise, employment, an investment, or any promise of income. What you build with the tool, and what results you get, are yours and depend on you.

2.No Income Guarantee — Earnings Disclaimer

We make no promise, representation, or guarantee that you will earn any money using the Service. Any numbers shown in the Service — including suggested product prices, margins, “profit per sale” figures, or example calculations based on your stated goals — are mathematical illustrations only, not projections, predictions, or statements of typical results. They do not account for advertising costs, payment processing fees, platform or hosting subscription fees, domain costs, taxes, refunds, chargebacks, or other business expenses.

Most new online stores make few or no sales. Your results depend on factors within and outside your control, including your effort, skill, marketing, spending, product choice, competition, and market conditions. You should not purchase the Service with the expectation of earning any particular amount, or any amount at all.

3.Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is not directed to children.

4.Pricing and Billing

  • Store unlock: Claiming your store costs $20 (USD), one time. It is not a subscription — nothing renews automatically and no further charges occur unless you choose to buy an optional add-on.
  • Add-ons: Optional one-time purchases (for example, additional digital products, ad creative packages, or advanced training) are charged at the price disclosed at the time of purchase.
  • Refunds: Governed by our Refund Policy (30-day money-back).

5.Digital Products and Your License

Our catalog. The digital products in our catalog are created or licensed by us. When you claim a store, we grant you a limited, non-exclusive, non-transferable license to sell copies of the digital product(s) assigned to your store to your own end customers, through your own store, at a price you choose.

No exclusivity. The same digital products are offered to other users of the Service, who may sell identical or similar products in their own stores. We do not grant any territorial, niche, or product exclusivity.

What you may not do. Unless we agree in writing, you may not: (a) transfer, sublicense, or resell the resale rights themselves; (b) give away or sell the product's source files or master copies to anyone other than as an end-user copy for your customer's personal use; (c) claim to be the original author or remove copyright notices we include; (d) register trademarks or copyrights in the products; or (e) list the products on marketplaces or platforms that prohibit resale-rights content.

Editing. You may edit the product's title, cover, branding, and sales copy for your store. You are responsible for any changes you make and any claims added through those changes.

Not professional advice. The digital products are general informational and educational content. They are not legal, financial, medical, tax, or other professional advice, and you must not market them as such or make claims about them that you cannot substantiate.

License end. Your license continues for as long as your store remains in good standing. If we terminate your access for violation of these Terms, your license to sell the products ends, but copies already lawfully sold to your customers remain theirs to use.

6.Training and Bonus Materials

Store purchases may include a setup course and bonus guides (for example, on setting up your store, domain, and payments). These materials are for your personal use only, are provided for general education, and may not be copied, shared, or resold.

7.Third-Party Services

The Service integrates with and depends on third parties we do not control, including e-commerce or hosting platforms (such as Shopify), payment processors (such as Stripe), domain registrars, and digital-delivery tools. Your use of those services is governed by their own terms and fees — for example, a platform may charge its own subscription, and any promotional pricing is set by that platform and may change. We are not responsible for the acts, omissions, pricing, availability, account approvals or suspensions, or performance of any third party.

Affiliate disclosure: we may receive compensation from third parties — including referral commissions — when you sign up for their services through the Service. This does not change the price you pay.

8.Your Store, Your Business, Your Responsibilities

Once your store is live, you are the merchant of record for your store and solely responsible for operating it lawfully, including: the accuracy of claims made on your store and in your marketing; delivering purchased products to your customers; customer service, refunds, and chargebacks for your customers; complying with advertising, consumer-protection, privacy, email/SMS marketing, and tax laws that apply to you (including any sales tax or VAT on digital goods); and any content you add. You agree not to use the Service for anything unlawful, deceptive, or infringing.

9.Intellectual Property

We own the Service, including its software, design, the digital products in our catalog, training materials, and content we generate. Except for the licenses expressly granted in these Terms, no rights are transferred to you. Upon purchase, we grant you a limited, non-exclusive, non-transferable license to use the storefront materials the Service generates for you, for operating your store. You retain ownership of content you supply. You grant us a license to use content you supply solely to provide the Service.

10.Acceptable Use

You will not: reverse engineer, scrape, or copy the Service; resell or redistribute the Service, our catalog, or our training materials except as expressly permitted in Section 5; interfere with the Service's operation; misrepresent your identity; use the products in misleading “get rich quick” or false-earnings marketing; or use the Service to sell unlawful, infringing, or prohibited content.

11.Disclaimer of Warranties

The Service, the digital products, and all training materials are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that any third-party platform will approve or keep your account active, or that any store will achieve any level of sales or revenue.

12.Limitation of Liability

To the maximum extent permitted by law: (a) we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data; and (b) our total liability for all claims relating to the Service will not exceed the amounts you paid us in the twelve (12) months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnification. You agree to defend, indemnify, and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your store, your sales of the digital products, any edits you make to them, your marketing, your violation of these Terms, or your violation of any law or third-party right.

13.Dispute Resolution — Binding Arbitration & Class Action Waiver

Informal resolution first. Before filing any claim, you agree to contact us at support@selldigitalproducts.ai and give us 30 days to resolve the issue informally. Most concerns can be fixed this way, including refunds under our 30-day policy.

Binding arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by final and binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs this section. Judgment on the award may be entered in any court of competent jurisdiction. For claims of $10,000 or less, you may choose whether the arbitration is conducted by documents only, by phone, or by video.

Class action waiver: You and we each waive the right to a jury trial and the right to participate in any class action, class arbitration, consolidated action, or representative proceeding. Disputes may be brought only in an individual capacity. If this class action waiver is found unenforceable as to a particular claim, then that claim (and only that claim) shall proceed in court, and the waiver shall remain enforceable for all other claims.

Small claims carve-out: either party may bring an individual claim in small claims court instead of arbitration.

30-day right to opt out: you may opt out of this arbitration agreement and class action waiver by emailing support@selldigitalproducts.ai with the subject “Arbitration Opt-Out,” your name, and the email used for your purchase, within 30 days of first accepting these Terms. Opting out will not affect any other part of these Terms or your ability to use the Service.

14.Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs Section 13. Where a claim proceeds in court under these Terms, it must be brought in the state or federal courts located in Wyoming, and you consent to their jurisdiction.

15.Changes; Termination

We may update these Terms by posting a revised version with a new effective date; material changes will be notified by email or in the Service, and continued use after the effective date constitutes acceptance. We may suspend or terminate access for violation of these Terms. You may stop using the Service at any time; Sections 2, 5 (as to restrictions and license end), and 9–14 survive termination.

16.Miscellaneous

These Terms (with the incorporated policies) are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.

17.SMS / Text Message Program

Program. Sell Digital Products AI (Arcifex LLC) offers an optional text-message program, “Sell Digital Products AI Store Alerts & Offers.” If you opt in, we send recurring automated text messages about the store you are building with us: your store and activation link, launch reminders and tips, order and account alerts, and occasional marketing offers for our own products and services.

Opt-in. You opt in by ticking the SMS consent box (unchecked by default) and entering your mobile number on selldigitalproducts.ai. Consent is not a condition of any purchase. You confirm you are the account holder for the number or have the holder's permission, and that you are at least 18 years old.

Frequency and rates. Message frequency varies, up to 10 messages per month. Message and data rates may apply according to your carrier's plan.

Opt-out and help. Reply STOP to any message to cancel; you will receive one confirmation text and no further messages. Reply HELP for help, or email support@selldigitalproducts.ai.

Carriers. Supported carriers include AT&T, T-Mobile, Verizon and most major U.S. carriers. Carriers are not liable for delayed or undelivered messages.

Your information. Mobile numbers and SMS consent are never shared with or sold to third parties or affiliates for their marketing; they are shared only with the providers that deliver our messages. See our Privacy Policy and the full SMS Terms.
